Effective from: 4 October 2026 · Version: 1.0
In short — You run your event; HeyJoinMe provides the technology. Online ticket money is collected and settled by the payment gateway, and reaches you less our fees. You are responsible for your event, its permissions, its taxes and its refunds. You decide which attendee details to collect, and must use them lawfully. When buyers must be refunded, the money comes from your proceeds. This summary does not replace the terms below.
1. Scope and acceptance
1.1 These Terms of Operation ("Organiser Terms") apply to every person or organisation that uses HeyJoinMe to create, list, sell, promote or manage an event ("Organiser", "you"), and to everyone who uses your organiser account. They are a contract between you and Softagone Technologies LLP, which operates HeyJoinMe ("HeyJoinMe", "we", "us").
1.2 You accept these Organiser Terms by signing in to the organiser dashboard, listing an event, or receiving payments through the Platform. If you accept them for a business, society, trust or other organisation, you confirm that you are authorised to bind it.
1.3 These Organiser Terms add to our Terms & Conditions and Privacy Policy, which also apply to you; if they conflict, these Organiser Terms prevail for organisers. A plan, quotation, order form or other written agreement signed between you and HeyJoinMe prevails over these Organiser Terms on the points it covers.
2. What HeyJoinMe provides
2.1 The Platform gives you tools to create event pages; set ticket types, prices, early-bird and group prices, seat maps and quotas; run promo codes and invite-only or guest-list sales; collect attendee details through forms whose fields you choose; collect online payments; issue QR tickets on WhatsApp and email; sell at the venue through a box office; check guests in with the scanner app; send WhatsApp and email messages; measure ads; and view reports and export your data (the "Services"). Features may change as the Platform develops.
2.2 Listing on the HeyJoinMe marketplace is subject to our review. We decide whether, where and how events appear on it, including in search results, city and category pages and featured positions.
2.3 HeyJoinMe is a technology service provider and an intermediary. We are not the organiser, promoter, producer, partner, joint venturer or employer in relation to any event, and nothing in these Organiser Terms creates such a relationship. We act for you only in the limited ways these Organiser Terms describe — for example, instructing the payment gateway to transfer, hold or reverse funds.
3. Your account
3.1 You must give us accurate and complete information and keep it up to date, including your legal name and constitution, address, PAN, GSTIN (if registered), authorised signatory, contact details, bank account, and whatever the payment gateway needs to verify you.
3.2 We may verify that information, ask for documents — including identity and business proofs and the licences and permissions for an event — and refuse, suspend or limit an account or event while verification is incomplete or unsatisfactory.
3.3 You are responsible for everything done through your organiser account, including by staff and volunteers you give access to. Give each person only the access they need, keep credentials confidential, remove access when someone leaves, and tell us at once of any unauthorised use.
4. Your events and listings
4.1 Accurate listings. Every event page must be accurate, complete and not misleading. It must state the event's name, date, start and end time and venue address; what each ticket includes and excludes; the total price in a single figure, including all taxes and compulsory charges; age limits, entry conditions and prohibited items; your refund and cancellation policy; and your name, address and contact details, including a person buyers can contact with complaints. You must keep it up to date.
4.2 Licences and permissions. Before you sell, and for as long as the event runs, you must hold every licence, permission, registration and no-objection certificate the event needs — for example police permission, the venue owner's consent, fire safety clearance, permission for loudspeakers under the Noise Pollution (Regulation and Control) Rules, 2000, music and performance licences (such as from IPRS, PPL or Novex), FSSAI registration for food, liquor licences, and local entertainment-tax registrations. You must produce them on request.
4.3 Prohibited events. You must not use the Platform for any event or content that:
- is unlawful, or needs a licence or permission you do not hold;
- involves gambling, betting or online money games, or promotes them;
- involves unlawful obscenity or adult entertainment, or any sexual content involving minors;
- promotes violence, hatred or enmity on grounds of religion, caste, race, gender, region or language;
- is a pyramid, multi-level marketing, money-circulation or chit scheme or an unregulated deposit scheme, or offers investment, trading or financial advice in breach of law;
- raises money for a cause in a misleading way;
- uses an artist's, celebrity's or brand's name, image or marks without authority, or advertises artists who have not agreed to appear;
- sells or promotes weapons, drugs, or tobacco or alcohol to minors; or
- breaches section 12.2 of our Terms & Conditions or any law.
We may refuse or remove any listing at our discretion if we reasonably believe it breaches this section or puts buyers, the Platform or HeyJoinMe at risk.
4.4 Fair selling. You must not use false urgency or scarcity (such as "only 5 left" when it is untrue), add charges late in the purchase, mislead about artists, the venue or what a ticket includes, or use any other dark pattern prohibited by the Guidelines for Prevention and Regulation of Dark Patterns, 2023. You must honour every ticket sold through the Platform.
4.5 Changes after sale. If you change the date, time, venue, headline artist or any other material feature of an event after tickets are sold, you must tell us and buyers promptly through the Platform and give buyers the options your policy and the law require, including a refund where due.
4.6 Content licence. You keep ownership of your event content. You grant HeyJoinMe a non-exclusive, royalty-free, worldwide licence — for as long as your event is listed and a reasonable period afterwards — to host, reproduce, adapt (for example resize, crop or reformat), display, distribute and promote it, including names, logos, images, posters and descriptions, on the Platform, in messages to buyers, and in HeyJoinMe's own marketing and social media. You confirm you hold every right needed to grant this licence, including the consent of the artists and other people shown.
5. Payments and settlement
5.1 Who collects. Unless we agree to switch on your own gateway (5.4), online payments for your events are collected through the payment gateway merchant account of Softagone Technologies LLP for HeyJoinMe. The payment gateway is a payment aggregator authorised by the Reserve Bank of India. You appoint HeyJoinMe as your limited agent to collect payments from buyers on your behalf, and a buyer's payment through the Platform discharges the buyer's obligation to pay you. Buyers pay the price you set; HeyJoinMe adds nothing on top.
5.2 Paid automatically. Once you have a linked account with the payment gateway that it has verified and activated, your share of each online payment — the amount paid, less HeyJoinMe's commission — is transferred by the payment gateway to your linked account and settled by the payment gateway to your bank account on the payment gateway's settlement schedule. To open a linked account you must complete the payment gateway's verification and accept the payment gateway's applicable terms, and you authorise us to share with the payment gateway the information it needs.
5.3 Paid on by HeyJoinMe. Until your linked account is activated, or where Route is not used for a payment (for example under a plan that charges no commission per sale, or a payment made through a payment link), the payment settles to HeyJoinMe's account. HeyJoinMe then pays your share — less fees, refunds, chargebacks and other amounts due — to your verified bank account within 7 working days after the event ends, or on another schedule agreed in writing.
5.4 Your own gateway. If we agree to switch it on for your organisation, payments are collected directly into your own payment gateway account under your own agreement with that payment gateway. You are then solely responsible for that account, its settlements, refunds, chargebacks, taxes and compliance, and HeyJoinMe has no access to, or responsibility for, those funds. We charge no commission on ticket sales in this mode; other fees, such as messaging, still apply. You must keep the account credentials you give us valid.
5.5 The payment gateway governs the movement of funds. Collection, holding, settlement, refund and reversal of payments are carried out by the payment gateway and the banks under the rules of the Reserve Bank of India and the payment gateway's terms. HeyJoinMe is not responsible for delays, holds, reversals or decisions of the payment gateway, banks or card networks, including those arising from their risk and compliance checks.
5.6 Holds and reserves. We may hold, or instruct the payment gateway to hold, all or part of an event's proceeds until the event has taken place and the period for complaints has passed, or keep a reasonable reserve, where we reasonably consider there is a risk of refunds, chargebacks or complaints — for example for a new organiser, a large event, a change or cancellation, unusual sales or refund patterns, a dispute, incomplete verification, or an order of a court or authority. We will tell you when we do so, and why, unless the law prevents us.
5.7 Sales you collect yourself. Money you collect yourself — cash, UPI or card payments at a box office or the venue, or any payment made outside the Platform — is collected by you, at your own risk and responsibility. The Platform only records these sales.
5.8 No guarantee of sales. We do not guarantee any level of sales, attendance or marketing reach.
6. Fees, invoices and taxes
6.1 Fees. You pay HeyJoinMe the fees in your plan and rate card shown in your dashboard, or otherwise agreed in writing — such as commission on sales, event or subscription fees, and charges for WhatsApp and email messages sent for your events (including one-time codes, tickets, reminders and campaigns). Commission applies to sales recorded through the Platform, including box-office and manually recorded sales, and is calculated on the amount paid after discounts. Fees are exclusive of GST, which is added at the applicable rate.
6.2 How fees are paid. Commission on online sales may be deducted before your share is transferred or paid on to you. Other fees are invoiced and are payable within 14 days of the invoice. Payment-gateway charges are borne as set out in your plan or rate card.
6.3 Refunded sales. When a sale is refunded, the commission on the refunded amount is credited to you, except where the refund follows a cancellation or material change of the event by you, in which case HeyJoinMe may keep its fees and recover the payment-gateway charges it incurred.
6.4 Set-off. We may deduct any amount you owe HeyJoinMe — fees, refunds, chargebacks, penalties or costs — from any amount payable to you, including by instructing the payment gateway accordingly.
6.5 Changes to fees take effect after at least 30 days' notice, and do not apply to tickets already sold.
6.6 Taxes. HeyJoinMe issues GST tax invoices for its fees. You supply your event to buyers, so you are responsible for any tax invoice for tickets; for GST and any other tax on your sales, including entertainment or amusement taxes; and for your income tax. Where the law requires HeyJoinMe to deduct or collect tax at source on amounts paid to you, we will do so and give you the required certificates. You must give us your correct PAN and GSTIN (if registered).
6.7 Late payment. If an invoice is not paid when due, we may suspend paid features — including sending messages — until it is paid, and charge interest at 1.5% per month, or the maximum the law allows if lower.
7. Refunds, cancellations and chargebacks
7.1 Your refund policy. Before tickets go on sale, you must set a clear refund and cancellation policy for the event, which is shown to buyers before they pay. It must be fair and comply with the Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020. If you do not set one, the default policy in our Cancellation & Refund Policy applies.
7.2 Processing refunds. Refunds are processed by HeyJoinMe through the payment gateway, at your request or where your policy, our Cancellation & Refund Policy or the law requires one. You authorise HeyJoinMe to refund buyers in those cases, and also where a booking failed, was duplicated, was paid after it lapsed, or was fraudulent.
7.3 Cancelling or changing an event. If you cancel an event, or change its date, venue or another material feature, you must tell us immediately and inform buyers through the Platform. Buyers of a cancelled event are refunded the full amount they paid. We may tell buyers ourselves.
7.4 Refunds come from your proceeds. Where your share of a payment has already been transferred or paid to you, you must repay what is needed for refunds within 3 working days of our request. We may also reverse Route transfers, hold or set off amounts payable to you, or invoice you. If we refund buyers before recovering the money from you, that amount is a debt you owe HeyJoinMe, payable on demand.
7.5 Chargebacks. You are responsible for chargebacks and payment disputes raised by buyers of your events, and for any fees, penalties or costs that the payment gateway or the banks charge for them. You must give us the evidence we ask for — such as entry records and communications — within 2 working days, so that the dispute can be contested. Amounts lost in a chargeback may be recovered under 7.4.
8. Attendee data
8.1 Who is responsible for what. You decide which details are collected from buyers and attendees for your event, and why. For that data you are the Data Fiduciary under the Digital Personal Data Protection Act, 2023, and HeyJoinMe processes it on your behalf as your Data Processor. HeyJoinMe is a Data Fiduciary in its own right for the data it processes for its own purposes — such as buyer sign-in across organisers, payments and refunds, fraud prevention, legal and tax compliance, and improving the Platform — as our Privacy Policy describes.
8.2 Your obligations. You must:
- collect only the details you actually need for your event;
- not ask for sensitive information — such as Aadhaar numbers, copies of identity documents, health or medical information, financial information or biometric data — unless the law requires or allows it and it is genuinely necessary for the event;
- collect data about children only with the verifiable consent of a parent or guardian;
- use the data only for your event and for communications the attendee has agreed to, and never sell it;
- keep any data you export secure, and delete it when you no longer need it;
- deal with requests from attendees about their data, and pass to us any that we need to act on; and
- comply with the Information Technology Act, 2000, the Digital Personal Data Protection Act, 2023 as its provisions come into force, and the rules under them.
8.3 Our obligations. When processing data for you, HeyJoinMe will:
- process it only to provide the Services and as you instruct through the Platform;
- keep it confidential and protect it with reasonable security safeguards, and bind our staff to confidentiality;
- use only the service providers needed to provide the Services — such as hosting, the payment gateway, Meta (WhatsApp) and email delivery — which you authorise;
- help you respond to attendees' requests about their data;
- tell you without undue delay after we become aware of a personal data breach affecting your data; and
- when you close your account, let you export your data and then delete it, except where the law requires us to keep it.
8.4 Separation. Your data is kept apart from other organisers' data. You cannot see the buyers of other organisers' events, and they cannot see yours. A buyer who books with several organisers has one HeyJoinMe sign-in, but each organiser sees only its own bookings.
8.5 Ads measurement. If you switch on Meta Pixel or the Conversions API for an event, you instruct us to share event activity with Meta to measure your ads — for purchases, the order reference and value, the buyer's name, email address and mobile number in hashed form, and the buyer's IP address and browser details. You are responsible for your use of Meta's tools, for complying with Meta's terms, and for any notice and consent the law requires.
9. Messaging
9.1 WhatsApp messages are sent through Meta's WhatsApp Business Platform using templates approved by Meta, and emails through our email providers. You must comply with the WhatsApp Business Messaging Policy and Meta's terms.
9.2 You may send promotional messages only to people who have agreed to receive them from you, and you must honour every request to stop. When you start a campaign you confirm that the people on the list agreed to receive WhatsApp messages from you. You are responsible for what your campaigns say.
9.3 We may pause or refuse any campaign or template that we reasonably believe breaches the law or Meta's policies, or that risks the quality rating or standing of the Platform's WhatsApp account. Message categories, prices and delivery are controlled by Meta, and we do not guarantee the delivery of any message.
10. Gate, box office and scanner app
10.1 You are responsible for your gate operations — staff, devices, connectivity, queues, security checks and crowd management — and for the conduct of everyone you allow to use the box office or the scanner app.
10.2 Keep a fallback, such as a downloaded attendee list, in case a device, network or service fails at the gate. HeyJoinMe is not liable for losses caused by delayed or failed check-in.
11. Running the event
11.1 You alone are responsible for delivering the event as advertised, and for the safety and security of everyone at it — venue safety and capacity, crowd and traffic management, first aid and emergency arrangements, food and drink, accessibility, and the conduct of staff, contractors and artists — and for complying with every applicable law. We recommend suitable public-liability and event-cancellation insurance.
11.2 You are responsible for any injury, death, loss or damage suffered by anyone at or in connection with your event.
12. Platform rules for organisers
You must not:
- use buyer data from the Platform for anything other than your event and communications the buyer agreed to;
- move buyers off the Platform to avoid fees on tickets that were listed or promoted on it;
- create fake bookings, or inflate sales or attendance;
- copy, scrape, reverse engineer or resell the Platform;
- share login credentials outside your organisation; or
- use the Platform in any way that breaks the law or harms buyers, other organisers or HeyJoinMe.
13. Intellectual property
13.1 The Platform and its software, designs and content (other than your content) belong to Softagone Technologies LLP or its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Services for your events while these Organiser Terms apply.
13.2 We may name you, and show your logo, as a user of HeyJoinMe in our marketing, unless you ask us not to.
13.3 If you send us feedback or suggestions, we may use them freely.
14. Confidentiality
Each of us will keep confidential any non-public information received from the other in connection with the Services, and use it only for the Services, except where the law requires disclosure.
15. Indemnity
You will indemnify HeyJoinMe, Softagone Technologies LLP and its partners, employees and agents against every claim, demand, proceeding, loss, liability, penalty, tax, refund, chargeback, cost and expense (including reasonable legal fees) arising out of or in connection with: your events; your content; your breach of these Organiser Terms or of any law; tax payable on your sales; your processing of personal data; infringement of anyone's rights; or any claim by a buyer, attendee, artist, venue, supplier, employee or authority relating to your events.
16. Limitation of liability
16.1 The Services are provided "as is" and "as available". We do not promise uninterrupted or error-free service, any level of sales, or the delivery of every message.
16.2 HeyJoinMe is not liable for loss of profit, revenue, business, goodwill or data, or for any indirect or consequential loss.
16.3 HeyJoinMe's total liability to you under or in connection with these Organiser Terms is limited to the fees you paid HeyJoinMe in the three months before the event giving rise to the claim.
16.4 Nothing in these Organiser Terms limits liability for fraud or any liability that cannot be limited by law.
17. Suspension and termination
17.1 You may stop using the Services at any time by writing to us. Events for which tickets have been sold must still be delivered, or cancelled and refunded, under these Organiser Terms.
17.2 We may suspend or terminate your account, unpublish events, or pause sales, messaging or settlements — immediately, with notice where the law allows — if you breach these Organiser Terms or the law; if complaints or chargebacks suggest a risk to buyers; if verification fails; if you do not pay amounts due; or if a court, an authority, the payment gateway or Meta requires it. We may also end these Organiser Terms for convenience on 30 days' notice.
17.3 On termination, amounts you owe become due at once; we may keep holds in place until refunds, chargebacks and fees for your events are settled; where an event has tickets sold and you cannot deliver it, we may cancel it and refund buyers from your proceeds; and we will make your data available for export for 30 days, after which we may delete it, except where the law requires us to keep it.
17.4 Sections 5, 6, 7, 8, 13 to 16, 17.3 and 19 survive termination.
18. Changes
We may update these Organiser Terms. We will give at least 15 days' notice, by email or on your dashboard, of any change that materially affects you, and at least 30 days' notice of a fee increase. Continuing to use the Services after a change takes effect means you accept it.
19. Governing law and disputes
19.1 These Organiser Terms are governed by the laws of India.
19.2 Each of us will first try to resolve any dispute through good-faith discussion for 30 days after the other is notified of it in writing.
19.3 A dispute not resolved in that time will be finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by agreement or, failing agreement, under that Act. The seat and venue of arbitration is Jamnagar, Gujarat, the language is English, and hearings may be held online.
19.4 Subject to arbitration, the courts at Jamnagar, Gujarat have exclusive jurisdiction, including for interim relief.
20. General
20.1 You and HeyJoinMe are independent contractors.
20.2 You may not assign these Organiser Terms without our written consent. We may assign them to an affiliate or to a successor to the Platform.
20.3 Notices to you are sent to your account email or shown on your dashboard. Notices to us go to [email protected] and our registered office.
20.4 These Organiser Terms are an electronic contract under the Information Technology Act, 2000 and bind you without a physical or digital signature.
20.5 If any provision is held invalid, the rest remains in effect. Not enforcing a right is not a waiver of it. The English version prevails over any translation.
